Last Updated: 09-08-2026
These Terms and Conditions (“Terms”) govern the provision of software development and lead generation services by LeadHunt (“Company,” “we,” “us,” or “our”), a company organized under the laws of [Jurisdiction, e.g., “the State of Delaware”], to any client or user (“Client,” “you,” or “your”) who engages our services, uses our website, or enters into a Service Agreement with us.
By accessing our website, engaging our services, signing a proposal, statement of work (“SOW”), or Service Agreement with us, you agree to be bound by these Terms.
1. Definitions
- “Services” means the software development services, lead generation services, and any related consulting, design, or support services provided by the Company.
- “Deliverables” means any software, code, applications, designs, reports, leads, data, or other work product produced by the Company for the Client under a Service Agreement.
- “Service Agreement” or “SOW” means any proposal, contract, order form, or statement of work executed between the Company and the Client that references these Terms.
- “Leads” means contact information, inquiries, or prospective customer data generated, collected, or provided to the Client as part of lead generation Services.
- “Confidential Information” means any non-public business, technical, financial, or personal information disclosed by either party.
2. Scope of Services
2.1 Software Development Services
The Company will design, develop, test, and deliver software as described in the applicable SOW. Specifications, timelines, milestones, and acceptance criteria will be detailed in each SOW. Any work outside the agreed scope will be treated as a change request under Section 3.
2.2 Lead Generation Services
The Company will identify, generate, and/or deliver sales leads to the Client through methods that may include digital marketing, outbound outreach, content marketing, search engine marketing, and/or third-party data sources, as described in the applicable SOW.
Lead Quality Disclaimer: The Company does not guarantee that any lead will result in a sale, conversion, or successful business relationship for the Client. Leads are provided on an “as-is” basis based on criteria mutually agreed upon in the SOW (e.g., industry, company size, geography). Any lead qualification guarantees (e.g., minimum number of qualified leads per month) must be explicitly stated in the SOW to be binding.
3. Change Requests
Any changes to the scope, timeline, or deliverables of a Service Agreement must be submitted in writing. The Company will provide a revised timeline and/or cost estimate for approval before implementing the change. Verbal change requests are not binding.
4. Fees and Payment
4.1 Fees for Services will be set out in the applicable SOW or invoice and may be structured as fixed-price, time-and-materials, retainer, or performance-based (e.g., per-lead) pricing.
4.2 Unless otherwise stated, invoices are due within [15/30] days of the invoice date. Late payments may incur a late fee of [1.5%] per month or the maximum rate permitted by law, whichever is lower.
4.3 The Company reserves the right to suspend Services, withhold Deliverables, or terminate the Service Agreement for accounts more than [30] days past due.
4.4 All fees are exclusive of applicable taxes, which are the Client’s responsibility unless otherwise stated.
4.5 Except as otherwise agreed in writing, fees paid are non-refundable once work has commenced.
5. Client Responsibilities
The Client agrees to:
- Provide timely access to necessary information, materials, credentials, and personnel required to perform the Services;
- Designate a point of contact with authority to approve deliverables and change requests;
- Review and approve/reject Deliverables within the timeframe specified in the SOW (absent a response, Deliverables will be deemed accepted after [10] business days);
- Ensure that any data, content, or materials provided to the Company do not infringe third-party rights or violate applicable law.
Delays caused by the Client’s failure to meet these responsibilities may result in adjusted timelines and additional fees.
6. Intellectual Property
6.1 Pre-Existing IP. Each party retains ownership of intellectual property it owned prior to the engagement, including any pre-existing tools, frameworks, libraries, or methodologies (collectively, “Background IP”).
6.2 Custom Deliverables. Upon full payment of all applicable fees, the Company assigns to the Client all right, title, and interest in custom software Deliverables created specifically for the Client under the SOW, excluding any Background IP, third-party components, or open-source software incorporated therein, which remain subject to their respective licenses.
6.3 License to Background IP. The Company grants the Client a non-exclusive, perpetual, royalty-free license to use any Background IP incorporated into the Deliverables solely as necessary to use the Deliverables as intended.
6.4 Leads and Lead Data. Leads delivered to the Client become the Client’s property upon delivery, subject to any applicable data privacy laws governing the underlying personal data. The Company retains the right to use aggregated, anonymized data derived from lead generation activities for internal analytics and service improvement.
6.5 Portfolio Rights. Unless otherwise agreed in writing, the Company may reference the Client’s name, logo, and a general description of the Services performed for marketing and portfolio purposes.
7. Confidentiality
Each party agrees to protect the other party’s Confidential Information using the same degree of care it uses for its own confidential information (and no less than reasonable care), and not to disclose such information to third parties except as necessary to perform its obligations, as required by law, or with the disclosing party’s prior written consent. This obligation survives termination of the Service Agreement for a period of [3] years, or indefinitely for trade secrets.
8. Data Privacy and Compliance
8.1 Where the Company processes personal data on the Client’s behalf (e.g., in connection with lead generation), the parties will enter into a data processing agreement as needed to comply with applicable data protection laws (e.g., GDPR, CCPA, or other applicable regional laws).
8.2 The Client is responsible for ensuring that its use of Leads and any related marketing or outreach activities comply with applicable laws, including anti-spam and telemarketing regulations (e.g., CAN-SPAM, TCPA, GDPR).
8.3 The Company will implement reasonable technical and organizational measures to protect data processed in connection with the Services.
9. Warranties
9.1 The Company warrants that Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards.
9.2 The Company warrants that software Deliverables will materially conform to the agreed specifications for a period of [30/60/90] days following delivery (“Warranty Period”). The Company’s sole obligation for breach of this warranty is to correct the non-conforming Deliverable at no additional cost.
9.3 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THIS SECTION, THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY SPECIFIC BUSINESS RESULT (INCLUDING LEAD CONVERSION OR SALES OUTCOMES) WILL BE ACHIEVED.
10. Limitation of Liability
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR ANY SERVICE AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 THE COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO A SERVICE AGREEMENT WILL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO THE COMPANY UNDER THAT SERVICE AGREEMENT IN THE [SIX (6) / TWELVE (12)] MONTHS PRECEDING THE CLAIM.
10.3 These limitations do not apply to liability arising from a party’s gross negligence, willful misconduct, breach of confidentiality obligations, or indemnification obligations under Section 11.
11. Indemnification
11.1 The Company will indemnify and hold the Client harmless from third-party claims alleging that the Deliverables, as delivered and used in accordance with the SOW, infringe a third party’s intellectual property rights, provided the Client promptly notifies the Company and cooperates in the defense.
11.2 The Client will indemnify and hold the Company harmless from third-party claims arising from: (a) the Client’s misuse of Deliverables or Leads; (b) content, data, or materials provided by the Client; or (c) the Client’s violation of applicable laws in its use of the Services.
12. Term and Termination
12.1 The Service Agreement commences on the effective date stated in the SOW and continues until completion of the Services or as otherwise specified.
12.2 Either party may terminate a Service Agreement for convenience with [30] days’ written notice, subject to payment for Services rendered and non-cancellable costs incurred up to the termination date.
12.3 Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within [15] days of written notice.
12.4 Upon termination, the Client will pay for all Services performed and expenses incurred up to the effective date of termination. Sections relating to IP ownership, confidentiality, payment obligations, warranties, limitation of liability, and indemnification survive termination.
13. Independent Contractor Relationship
The Company is an independent contractor, not an employee, agent, partner, or joint venturer of the Client. Nothing in these Terms creates an employment, partnership, or agency relationship between the parties.
14. Non-Solicitation
During the term of the Service Agreement and for [12] months thereafter, neither party will directly solicit for hire the employees or contractors of the other party who were directly involved in the Services, without prior written consent.
15. Force Majeure
Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet or infrastructure failures, or other events of force majeure.
16. Dispute Resolution
16.1 The parties will first attempt to resolve any dispute through good-faith negotiation between designated representatives.
16.2 If unresolved within [30] days, disputes will be submitted to [binding arbitration under the rules of ___ / the courts of ___], seated in [City, State/Country].
16.3 These Terms are governed by the laws of [Jurisdiction], without regard to its conflict of laws principles.
17. General Provisions
- Entire Agreement. These Terms, together with any applicable SOW, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
- Amendments. The Company may update these Terms from time to time; material changes will be communicated to active Clients. Continued use of Services after changes take effect constitutes acceptance.
- Assignment. Neither party may assign a Service Agreement without the other party’s prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Notices. All notices under these Terms must be in writing and delivered by email or courier to the addresses specified in the SOW.
